These Terms & Conditions govern your use of Tervanto's legal services. By engaging our services, you agree to these terms.

1. Definitions

Service: Legal services provided by Tervanto relating to property law matters in Thailand.

Client/You: The individual or entity engaging our services.

We/Us/Our: Tervanto and its legal advisors.

Agreement: The engagement letter or service agreement between Tervanto and Client.

2. Scope of Services

We provide property law services as specified in your engagement letter, including title due diligence, purchase agreement preparation, condominium foreign quota verification, and related property transaction matters. Services are subject to Thai law and Land Department procedures.

Our services do not constitute tax advice, architectural consultation, property valuation, or structural inspection. We will refer you to appropriate professionals for such matters.

3. Client Obligations

Clients agree to provide accurate and complete information, respond to requests for information within reasonable timeframes, disclose all material facts related to the transaction, pay fees according to the agreed schedule, and cooperate with Land Department requirements and procedures.

Failure to meet these obligations may affect service delivery and outcomes.

4. Fees and Payment

Service fees are specified in your engagement letter and based on the scope of work required. Payment terms include an initial retainer before commencing work and final payment upon completion of services. Fees are quoted in Thai Baht and exclude government fees, Land Department charges, and third-party costs.

Additional work beyond the original scope may result in additional fees, which will be discussed and agreed upon before proceeding.

5. Legal Relationship

Our engagement creates a professional legal relationship subject to Thai Bar Association regulations and legal professional conduct rules. We provide legal advice and representation within the scope of Thai property law.

Our advice is based on information provided and laws in effect at the time of service. Regulatory changes or new information may affect previous advice.

6. Confidentiality

We maintain client confidentiality in accordance with legal professional privilege and Thai Bar Association rules. Information disclosed during our engagement remains confidential except as required by law or with your consent.

We may share information as necessary to provide services (such as with Land Department officials) or as required by legal or regulatory obligations.

7. Limitation of Liability

Our liability is limited to direct damages resulting from negligence in providing services, not to exceed the fees paid for the specific matter. We are not liable for consequential damages, lost opportunities, or damages resulting from information not disclosed to us.

We do not guarantee specific transaction outcomes, as these depend on various factors including other parties' actions, Land Department decisions, and regulatory requirements.

8. Termination

Either party may terminate the engagement with written notice. Upon termination, you remain responsible for fees for work completed and expenses incurred. We will provide reasonable assistance with transition to new counsel if requested.

We reserve the right to withdraw from representation if required by professional conduct rules or if continuing would be inappropriate.

9. Dispute Resolution

These terms are governed by Thai law. Any disputes will be subject to the jurisdiction of Thai courts. Before initiating legal proceedings, parties agree to attempt good-faith resolution through discussion.

Thai Bar Association complaint procedures remain available for professional conduct concerns.

10. Intellectual Property

Documents we prepare for your matter belong to you. However, our legal analysis, research methods, and internal work product remain our property. You may use documents for the intended purpose but may not reproduce them for other uses without permission.

11. Communication

We communicate via email, phone, and in-person meetings as appropriate. Electronic communications may not be completely secure. We assume no liability for interception or unauthorized access to electronic communications.

Official notices should be sent to the addresses specified in your engagement letter.

12. Changes to Terms

We may update these terms periodically. Changes become effective upon posting with a revised date. Continued use of services after changes indicates acceptance of updated terms.
